Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are a binding agreement between you (the “customer”, “you”) and FounderReply (“we”, “our”, “us”), governing your access to and use of the service at https://founderreply.com and any related applications, APIs, and the MCP server (together, the “Service”). By creating an account, connecting a social account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What FounderReply does

FounderReply is software that lets you connect your own social-media accounts (Reddit, Instagram, Facebook, LinkedIn, and X) and use an AI agent to draft and schedule posts and replies. Every draft is placed in an approval queue and is only published after you take an explicit human approval action. The Service operates exclusively through each platform’s official API, acting on your behalf under the OAuth permissions you grant. We do not scrape, and we do not publish anything without your approval.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us at legal@founderreply.com if you suspect unauthorized access.

4. Acceptable use

You represent and warrant that you own, or are authorized to operate, every social account you connect to the Service. You are solely responsible for everything done through your connected accounts via the Service.

You agree that you will not use the Service to:

  • Send spam, bulk unsolicited messages, or low-value repetitive content.
  • Create or operate fake, automated, or sockpuppet accounts.
  • Impersonate any person, brand, or organization.
  • Engage in vote manipulation, fake engagement, or artificial amplification.
  • Circumvent, evade, or violate the terms of service, API terms, or community rules of any connected platform.
  • Harass, threaten, defame, or abuse any person, or post unlawful content.
  • Infringe any third party’s intellectual-property or privacy rights.

Each platform’s own rules are your responsibility. This includes — but is not limited to — Reddit’s API Terms, sitewide rules, and the self-promotion and content rules of every individual subreddit you participate in (for example, the widely-cited 90/10 guideline); Meta’s Platform Terms; LinkedIn’s API Terms of Use; and X’s Developer Agreement and rules. We provide compliance guidance and guardrails, but we do not guarantee that any given post complies with a specific community’s rules, and you remain responsible for your own compliance.

We may suspend or terminate your access immediately, without refund, if we reasonably believe you have violated this section or created risk for us or for a connected platform.

5. Subscriptions, billing, and renewals

Paid plans are offered in tiers (for example, Starter and Pro) on a monthly or annual basis, and one-time credit bundles may also be available. All payments are processed by Stripe; we do not store your card details. Prices and plan details are shown on our Pricing page and at checkout.

Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price, and your payment method will be charged for the next period, until you cancel. You can cancel at any time from the billing portal in your account; cancellation takes effect at the end of the current paid period, and you retain access until then.

Refunds. Except where a refund is required by applicable law, all fees are non-refundable, and we do not provide refunds or credits for partial periods, unused credits, or downgrades. Failure to pay may result in suspension or termination of paid features.

6. Intellectual property and content ownership

Your content is yours. As between you and us, you own the content you create, edit, and publish through the Service.

AI-generated drafts. Drafts generated by the AI agent become your content once you approve and publish them. Any ownership or usage rights in the AI model’s output (for example, output produced via the Gemini API) pass through to you, to the extent the model provider grants such rights. You are responsible for reviewing every draft before publishing and for ensuring it is accurate, lawful, and appropriate.

Our limited license. You grant us only the limited, non-exclusive license needed to process, store, and display your drafts and content within the Service — for example, to render them in the approval queue UI, to generate them, and to publish them to the platforms you direct. We claim no other rights in your content.

Our IP. The Service itself — including our software, design, and trademarks — remains our property. These Terms grant you a limited, revocable, non-transferable right to use the Service, and nothing more.

7. Third-party platforms

The Service depends on third-party platforms and their APIs. Your use of each connected platform is also governed by that platform’s own terms. We are not affiliated with, endorsed by, or a partner of Reddit, X, Meta, LinkedIn, or Google. We are not responsible for changes to, outages of, or decisions made by those platforms (including rate limits, API changes, or suspension of your platform account).

8. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that AI output will be accurate or fit for any purpose, or that your use of the Service will comply with any particular platform’s rules.

9. Limitation of liability

To the maximum extent permitted by law, FounderReply will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or for the suspension or loss of any social-platform account, arising out of or relating to the Service. Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) USD 100.

10. Indemnification

You agree to indemnify, defend, and hold harmless FounderReply and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) the content you publish; (c) your connected accounts and your authority to operate them; or (d) your violation of these Terms, of applicable law, or of any connected platform’s rules.

11. Suspension and termination

You may stop using the Service and delete your account at any time from Account Settings. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or a connected platform. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) survive.

12. Governing law and disputes

These Terms are governed by the laws of [JURISDICTION — confirm with counsel], without regard to its conflict-of-laws rules, and the courts located in that jurisdiction will have exclusive jurisdiction over any dispute, unless applicable mandatory law provides otherwise.

13. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the effective date, and for material changes we will provide reasonable notice (for example, by email). Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
